Merchant Partner Agreement

Document Version: Draft v0.9 (Pre-pilot) · Last updated: October 2026

1. Marketplace Intermediary Relationship

This Merchant Partner Agreement sets forth the terms under which Food Business Operators (FBOs) in Kochi, Kerala may list and sell eligible surplus food through the Good to Share digital marketplace.

The merchant enters into this agreement as an independent business. Nothing herein shall be construed to create an employer-employee, joint venture, or agency relationship between Good to Share and the merchant.

2. Merchant Representations & Warranties

The merchant represents and warrants that:

  • It holds all necessary registrations, trade licenses, and FSSAI credentials required to legally prepare, display, and sell food in the State of Kerala.
  • All food listed on the platform is wholesome, freshly prepared, compliant with hygiene standards, and safe for human consumption.
  • Prices listed on the platform represent a genuine discount against the merchant’s standard retail pricing for the equivalent item.

3. Pickup Management & Customer Handover

The merchant agrees to:

  • Package and set aside reserved surplus items in a secure holding area prior to the opening of the pickup window.
  • Designate staff during the scheduled pickup window to verify the customer’s order reference code and hand over the correct items without delay.
  • Maintain operational premises open and accessible during the entirety of the confirmed pickup window.

4. Platform Fees & Payouts

During the initial Kochi pilot phase, specific platform fee waivers may apply. Standard merchant payouts will be disbursed periodically after deducting applicable platform processing fees, subject to deduction of Tax Deducted at Source (TDS) under Section 194-O of the Indian Income Tax Act where applicable.

5. Suspension & Termination for Safety Violations

Good to Share reserves the absolute right to immediately suspend or terminate any merchant account that fails to maintain valid FSSAI licenses, receives substantiated food quality complaints, or violates hygiene protocols.
